Terms of Service

1. Acceptance of Terms

By accessing or using M&R Edge Studios® ("the App", "the Service"), operated by Michelle & Rich Essence Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service and the Apple Standard EULA. If you do not agree, you may not use the Service.

2. License to Use the App

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on Apple-branded products that you own or control, strictly in accordance with these Terms and the Apple Standard EULA. This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time. All rights not expressly granted to you are reserved by Michelle & Rich Essence Ltd.

The App is licensed, not sold, to you for use only under the terms of this license.

3. Description of Service

M&R Edge Studios® is an AI-powered social media content creation and editing platform. The Service includes AI script generation, video creation, voiceover synthesis, video editing, content scheduling, and multi-platform publishing tools.

4. User Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activities under your account. You must provide accurate information during registration.

5. Subscriptions & Payments

Paid plans are billed monthly via Stripe. You may cancel at any time through the billing portal. Refunds are handled on a case-by-case basis. We reserve the right to change pricing with 30 days' notice.

6. Content Ownership

You retain ownership of all content you create using the Service. By using the Service, you grant us a limited license to process and store your content as necessary to provide the Service. We do not claim ownership of your content.

7. Acceptable Use

You agree not to use the Service to: create illegal, harmful, or deceptive content; violate intellectual property rights; distribute malware; attempt to gain unauthorized access; or engage in any activity that disrupts the Service.

8. AI-Generated Content

Content generated by our AI tools is provided "as is." While we strive for quality, we cannot guarantee the accuracy, originality, or suitability of AI-generated content. You are responsible for reviewing and editing all AI outputs before use.

9. Limitation of Liability

To the maximum extent permitted by applicable law (including the laws of Scotland and the Federal Republic of Nigeria), Michelle & Rich Essence Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

10. Termination

We may suspend or terminate your account for violations of these terms. You may delete your account at any time. Upon termination, your data will be deleted in accordance with our Privacy Policy.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Scotland. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Scotland.

For users in Nigeria, these Terms are also subject to applicable Nigerian consumer protection legislation, including the Nigeria Data Protection Act 2023 (NDPA).

13. Third-Party Integrations

The Service integrates with third-party platforms including TikTok, Instagram, YouTube, and Facebook for content publishing. Your use of these integrations is subject to the respective platform's terms of service and privacy policies. Michelle & Rich Essence Ltd is not responsible for the practices of third-party platforms.

14. Consent to Use of Data

By using the App, you consent to our collection and use of your data as described in our Privacy Policy. You also consent to Apple and its subsidiaries collecting, using, and disclosing diagnostic, technical, usage, and related information that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the App. This information does not personally identify you and may be held and used by Apple in accordance with the Apple Privacy Policy.

15. No Reverse Engineering

You agree not to, and you will not permit others to: (a) copy, modify, or create derivative works of the App or any part thereof; (b) decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the App; (c) remove, alter, or obscure any proprietary notices on the App; or (d) distribute, sublicense, rent, lease, lend, sell, or otherwise transfer the App or any rights granted hereunder.

16. Indemnification

You agree to indemnify and hold harmless Michelle & Rich Essence Ltd, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.
